1. Agreement

By accessing this website or engaging AlphaCorp AI (a trade name of Ignas Vaitukaitis e CIA LTDA, registered in Rio de Janeiro, Brazil) for services, you agree to be bound by these Terms of Service. If you do not agree, do not use this website or our services.

2. Services

AlphaCorp AI provides custom software development, AI agent engineering, RAG pipeline development, model fine-tuning, prompt engineering, MLOps, integration audits, and related consulting services. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate project agreement or statement of work (SOW) signed by both parties.

3. Intellectual Property

Upon full payment, the client receives ownership of all custom code, models, and deliverables created specifically for that engagement. AlphaCorp AI retains the right to reuse general-purpose methodologies, tools, libraries, and frameworks developed independently or prior to the engagement. Any open-source software used remains subject to its original license terms.

4. Confidentiality

Both parties agree to treat all non-public information exchanged during an engagement as confidential. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of two (2) years.

5. Payment Terms

Payment terms, schedules, and methods are specified in each project agreement. Invoices are due within the timeframe stated in the agreement. AlphaCorp AI reserves the right to suspend or terminate work on any project with payments overdue by more than 15 days. Late payments may incur interest at the rate of 1% per month, or the maximum rate permitted by applicable law.

6. AI Assistant Disclaimer

This website includes an AI-powered chat assistant that provides general information about our services. The AI assistant's responses are generated by third-party language models and may contain inaccuracies. The assistant does not constitute professional, legal, financial, or technical advice. AlphaCorp AI makes no warranties regarding the accuracy, completeness, or reliability of the AI assistant's output. Use of the assistant is at your own risk.

7. Acceptable Use

You agree not to use this website or the AI assistant to:

• Submit unlawful, harmful, threatening, abusive, or otherwise objectionable content.
• Attempt to extract proprietary information, reverse-engineer systems, or circumvent security measures.
• Interfere with the website's operation or impose an unreasonable load on our infrastructure.
• Use automated tools (bots, scrapers) to access the website without prior written permission.

8. Warranty Disclaimer

This website and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AlphaCorp AI does not warrant that the website will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by applicable law, AlphaCorp AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of this website or our services. Our total aggregate liability for any claim related to a specific engagement shall not exceed the total fees paid by the client for that engagement.

10. Indemnification

You agree to indemnify and hold harmless AlphaCorp AI, its partners, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of this website, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate a service engagement as specified in the applicable project agreement. In the absence of specific termination terms, either party may terminate with 30 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. AlphaCorp AI reserves the right to suspend access to this website at any time without notice.

12. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these terms due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, pandemics, power outages, internet disruptions, or cyberattacks.

13. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from or relating to these terms shall be submitted to the exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.

14. Changes to These Terms

We may revise these terms at any time by updating this page. Material changes will be reflected in the "Last updated" date. Your continued use of this website or our services after changes are posted constitutes acceptance of the revised terms.
